1. Definitions

  • “Agreement” means these Terms and Conditions together with any order, proposal, or service schedule.
  • “Customer”, “you”, “your” means the person or business purchasing, trialling, or using the Services.
  • “Services” means the AI-powered telephony, data, and communication solutions provided under the “TelephoneAI” brand, including TelephoneAI Answer, Call, Train, and Attribution.
  • “Trial Period” means the limited-time free evaluation of the Services, as set out in Section 4.
  • “Subscription” means an ongoing paid licence or service plan.
  • “Data” means all call recordings, transcripts, analytics, and related information processed under this Agreement.

 

2. Scope of Agreement
2.1. These Terms govern all use of TelephoneAI Services, whether on a trial or paid basis.

2.2. Specific features, configurations, or integrations will be described in the relevant proposal, quote, or online plan.

2.3. By using the Services, the Customer accepts these Terms in full.

3. Service Description
TelephoneAI provides AI-based systems that:

  • Handle inbound and outbound voice calls and web chat enquiries;
  • Record, transcribe, and analyse calls for performance insight;
  • Score and train sales conversations using AI models;
  • Attribute lead sources and campaign outcomes to marketing channels.

Services may integrate with third-party systems such as CRMs, telephony platforms, or AI voice providers. Integration requires Customer cooperation and, where necessary, valid API access.

4. Trial Period
4.1. A 7-day free trial is available to eligible businesses. TelephoneAI may extend the trial up to a maximum of 14 days at its discretion, depending on setup complexity and results.

4.2. Some trials may require valid card details before activation for verification or automated conversion to a paid plan.

4.3. Unless cancelled before the trial ends, the Service will automatically continue as a paid subscription under the agreed pricing plan.

4.4. Trials are provided for evaluation only and may include limited functionality or data restrictions.

5. Fees and Payment
5.1. Services are billed on a monthly subscription basis, payable via Stripe, Direct Debit, or Invoice.

5.2. The TelephoneAI Call (Outbound Agent) product may be provided on a pay-as-you-go basis.

5.3. All prices are quoted in GBP and exclude VAT unless otherwise stated.

5.4. Payment is due immediately upon invoice unless otherwise agreed in writing.

5.5. Once the first subscription payment has been processed, no refunds are available for that billing period.

5.6. Late or failed payments may result in immediate suspension of Services until full settlement is received.

6. Term and Termination
6.1. This Agreement remains in force until terminated by either party.

6.2. The Customer may cancel at any time with immediate effect by written notice or through their account.

6.3. TelephoneAI may suspend or terminate the Agreement with immediate effect for:

  • Breach of these Terms;
  • Non-payment;
  • Unlawful or misleading use of the Services.

6.4. Upon termination, all Customer Data will be deleted in accordance with Section 10.

7. Service Availability and Maintenance
7.1. TelephoneAI uses commercially reasonable efforts to ensure reliable operation and minimise downtime.

7.2. No service-level guarantee or uptime percentage is promised unless specified in writing.

7.3. Maintenance or updates may occasionally interrupt service. Advance notice will be provided where practicable.

7.4. TelephoneAI is not responsible for issues arising from Customer equipment, internet connectivity, or third-party integrations.

8. Customer Responsibilities
8.1. You must provide accurate business and payment details.

8.2. You are responsible for obtaining all necessary consents for call recording or data capture under UK privacy and communications law.

8.3. You agree not to:

  • Use the Services for unlawful or fraudulent purposes;
  • Mislead callers or impersonate third parties;
  • Send spam or unsolicited messages;
  • Attempt to copy, resell, or reverse-engineer any part of the Services.

9. Call Recording, AI Output & Compliance
9.1. TelephoneAI enables automated call handling, recording, and analysis. You acknowledge that UK law (PECR & GDPR) requires notice or consent to record calls. You are responsible for providing this notice to callers.

9.2. AI agents and models may produce output that is probabilistic or imperfect. TelephoneAI does not guarantee complete accuracy in speech recognition, tone, or responses.

9.3. You must not rely on AI output as legal, medical, or professional advice.

9.4. The Services are not intended for emergency or time-critical use.

10. Data Protection and Privacy
10.1. The Customer acts as Data Controller and TelephoneAI acts as Data Processor under the UK GDPR and Data Protection Act 2018.

10.2. TelephoneAI processes data solely to provide the Services, and in accordance with your documented instructions.

10.3. All call data, transcripts, and related information are deleted promptly upon termination, unless retention is legally required.

10.4. TelephoneAI implements technical and organisational measures to protect personal data against unauthorised access, loss, or misuse.

11. Intellectual Property
11.1. All software, AI models, scripts, voice agents, training data, designs, and documentation remain the sole property of TelephoneAI and its licensors.

11.2. You retain ownership of your data, call recordings, and transcripts.

11.3. Unless agreed otherwise in writing, Services may include branding such as “Powered by TelephoneAI”.

11.4. Nothing in this Agreement transfers IP ownership to the Customer.

12. Confidentiality
12.1. Both parties agree to keep all business, technical, and operational information confidential.

12.2. Confidentiality obligations survive termination of this Agreement.

12.3. This clause does not prevent disclosure where required by law.

13. Indemnity
13.1. The Customer shall indemnify and hold TelephoneAI harmless from all claims, damages, or liabilities arising from:

  • Breach of law or regulation (including GDPR and PECR);
  • Misuse of AI or recorded data;
  • Third-party claims resulting from Customer content or conduct.

14. Limitation of Liability
14.1. TelephoneAI’s total liability in connection with this Agreement shall not exceed the total amount paid by the Customer in the preceding 12 months.

14.2. TelephoneAI is not liable for indirect, incidental, or consequential damages including loss of profits, data, goodwill, or revenue.

14.3. TelephoneAI accepts no responsibility for business losses resulting from AI misinterpretations, downtime, or inaccurate transcriptions.

15. Warranties and Disclaimers
15.1. TelephoneAI provides the Services “as is” and makes no warranties of performance beyond what is stated herein.

15.2. AI models evolve over time and may be updated or replaced without notice.

15.3. No advice or information obtained from TelephoneAI creates any warranty not expressly stated in these Terms.

16. Beta and Experimental Features
16.1. Customers granted access to beta or experimental features acknowledge that these may be unstable, incomplete, or withdrawn at any time.

16.2. TelephoneAI shall not be liable for any losses resulting from the use of beta or experimental features.

17. Third-Party Services
17.1. The Services may interface with third-party systems (e.g. telephony carriers, ElevenLabs, CRMs).

17.2. TelephoneAI is not responsible for failures or restrictions within third-party APIs or platforms.

17.3. Continued operation of integrations depends on those providers maintaining compatible APIs or access.

18. Modifications to Terms
TelephoneAI may amend these Terms from time to time. The latest version will always be available at [telephoneai.co.uk/terms]. Your continued use of the Services constitutes acceptance of the updated Terms.

19. Force Majeure
TelephoneAI is not liable for failure to perform obligations caused by events beyond its reasonable control, including network outages, government action, or natural disasters.

20. Entire Agreement
This Agreement supersedes all prior communications and constitutes the entire understanding between the parties regarding the Services.

21. Governing Law and Jurisdiction
This Agreement is governed by and construed in accordance with the laws of England and Wales. Both parties submit to the exclusive jurisdiction of the English courts.
